Responsibilities:- Corporate: Liaison with Group, countries in different jurisdictions worldwide, corporate and external lawyers; legal management of relationships with external and tax lawyers;
- Drafting appropriate legal documents (AoAs, Resolutions, etc), legal support of corporate processes;
- Litigation support and management with Country/Region.
- Fostering and monitoring compliance with the legal agreements.
- Monitoring compliance with legal procedures and management instructions.
- Support to existing and new companies in the Country/Region: secretarial activities; general legal advice and support, establishment of new legal entities and JV creation starting from MOUs and completing by JV/SHA agreements negotiating and drafting,
- Mergers and acquisitions “turn key” projects in the Country/Region as well as participating in the project involving difference jurisdictions of presence of the Group/
- Support to management in establishing and implementing risk management strategies.
- Preparation and harmonization /standardization of contract documentation and procedures; training.
- Provision of legal and contractual training and support to all functions.
- Monitor and report on all company policies.
- Commercial: Contractual/legal evaluation of tender enquiries; preparation and /or approval of tender terms and conditions; preparation of contract documentation
- Client negotiations for major projects; negotiation of terms and conditions and/or approval of contract terms; advice to management.
- Preparation of consortium agreements, major subcontracts, and other internal/external collaboration agreements.
- Advise during Project/contract executions phases in all legal and contractual matters including the enforcement and administration of contractual claims.
- Project finance, bonding and export credit insurance arrangements; review and approval of bonds/guarantees/securities in cooperation with finance team.
- Project-related tax and insurance programs; legal support in the preparation and prosecution of tax and insurance claims
- Compliance:Develop and oversee control systems to prevent or deal with violations of legal guidelines and internal policies;
- Revise procedures, reports etc. periodically to identify hidden risks or non-conformity issues;
- Draft, modify and implement company policies on compliance matters, etc
- Fully qualified lawyer (International Corporate and /or Business Law).
- At least 3 years work experience in an international position gained in both a leading reputable law firm and/or in-house industrial and project management environment.

International experience and knowledge of Industry - preferably Rail Industry covering matters from:
- projects and infrastructure EPC ( Engineering, Procurement , Construction, COmmissionning and Maintenance),
- servicing/ franchising,
- through handling Rolling Stocks and Services,
- procurement/sourcing contracts,
- a range of international key public laws and regulatory matters (including compliance’s).
