DUTIES AND RESPONSIBILITIES:
1. Legal coordination (arranging the work of legal and tax advisors, administrators and other consultants in different jurisdictions, review of the documents and memos prepared by them) with respect to:
Day-to-day activity of foreign (e.g. France, UAE, USA) companies (supervise the administrator of the company, implement one-off transactions: e.g. dividend distribution, issuance of shares, change of director).
Transactions in relation to foreign assets (acquisition of real estate, shares in the companies).
Establishment of private foundation / its maintenance in cooperation with legal & tax advisors
2. Legal drafting of the following documents:
Standard simple documents in accordance with foreign law (corporate resolutions, powers of attorney, instruments of transfer).
Shareholders’ agreements, option agreements under common law and relevant term sheets.
Wills under Russian law.
Reports in relation to Russian CFC rules and currency control legislation.
3. Preparation of presentations and materials:
Diagnostics of existing ownership structure, relevant risks and ways to mitigate them.
Development of target ownership structures.
Summary of tax and legal memos prepared by consultants.
Closing agendas.
Step plans.
4. Communication with counterparties:
Negotiating the terms of engagement letters.
Completion of the forms in relation FATCA / CRS reporting.
REQUIREMENTS:
Fluent English and good business writing skills both in English and Russian
Experience with big 4 or an ILF / RULF
Good coordination and legal drafting skills.
Commitment and proactiveness.
Knowledge in relation Russian Civil and Tax Code, international tax structuring, CFC rules, FATCA / CRS, currency control legislation, trusts and foundations, corporate and contract law
