Head of Legal and Compliance
Advise management on the matters in relation to contractual, litigation, intellectual property, corporate governance, compliance, pharma law, tax, antitrust, and employment matters, among others. The Head of Legal and Compliance advices with regard to compliance with applicable data protection rules .
Area of responsibility
• Ensure integrity of Global Legal and Legal Russia strategy to efficiently protect company interests in Russia and to support business activities
• Overall management of Legal & Compliance function in Russia, elaborate Legal and Compliance key objectives in Russia
• Organize contract management process: standardization, regularly procedure review, internal audit, continuous dialog with business units
• Perform compliance monitoring activities, investigations, case reporting, regular trainings for personnel
• Reveal, evaluate and analyze legal risks and provide assessment to management team
• Ensure proper corporate governance (appropriate legal structure for the affiliate, maintain good legal records and databases, secure due and timely changes in charter documents in close collaboration with Global Legal
• Manage interaction with state controlling authorities (Federal Antitrust Service, Ministry of Internal Affairs, Federal Service on Surveillance in Healthcare, Ministry of Health etc.)
• Manage intellectual property rights issues, interact with patent attorneys
• Close cross-functional cooperation with Finance and HR in complex legal issues and development of efficient business solutions
• Represent company interests in industry associations;
• Handle interaction with external counsels
• Review promo materials and activities
• Create and implement local legal and compliance trainings and programs
• Ensure full compliance with local legislation on personal data protection, control and audit company personal data policies
Requirements:
Higher legal education
Excellen knowledge of civil law and civil process, arbitration process
Fluent English
4-5 years on similar position
Experience in pharmaceutical business is a plus Experience in corporate housekeeping matters preferable
Experience of creations, adaptation, changing and implementation of corporate documents and company policies
Experience of protection of company interests and rights in a court is a plus
Ability to develop and implement (international) guidelines, procedures and/or processes
In-depth knowledge of international, regional and local Codes and other compliance-related guidelines and concepts
Advanced knowledge of the business concept and operational activities in the relevant division and its associated compliance risks
Project management skills, including leadership of project teams and implementation of global projects
Ability to efficiently work in cross-functional teams
Creative and flexible thinking
Ability to represent the company in trade associations and external organizations
Ability to actively and constructively manage conflicts between business and legal concerns
Good capability evaluating and balancing risks with business needs and processes.
