??????M&A Manager will be supporting M&A transactions performed by Softline in two ways. First they will be working closely with business teams on business planning related to a potential deal. This will include such components as commercial and operational due diligence, growth projections and synergy targets, governance, and integration considerations. Second they will be driving post-merger integration, joint venture set-up and other M&A implementation projects, which would include project set-up, coordination, reporting, and wrap-up / hand-over to Business as Usual.
ESSENTIAL POSITION RESPONSIBILITIES:
- Deal-related business planning;
- Сommercial due diligence activities;
- Validating deal rationale and sourcing guidance from the business on due diligence priorities;
- Performing commercial and operational due diligence or coordinating respective third parties;
- Developing business projections based on available financials and due diligence findings, and quantifying potential revenue and cost synergies;
- Defining governance mechanisms;
- Identifying integration risks and supporting management in defining integration vision.
M&A implementation:
- Defining project governance, structure, and cadence, e.g., workstream structure, the format of status reporting, layers of management reviews;
- Setting the format and requirements of project deliverables, such as integration plans, operating model documentation, synergy cases, etc.;
- Coordinating / driving workstreams towards the required project deliverables and coaching them on relevant M&A-related concepts, e.g., change of control;
- Tracking progress of each of the workstreams on a regular (weekly) basis and drafting reporting materials;
- Maintaining key project documents, such as master plan, overall synergy case, team charter, risk & issue log, dependencies matrix, etc.;
- Facilitating decision-making of senior management teams, e.g. drafting integration visioning / planning workshop decks.
POSITION QUALIFICATIONS:
- 4-7 years of professional working experience with a strong focus on business planning/project management;
- Fluent English;
- Experience in establishing, coordinating and driving large-scale projects such as post-merger integrations, JV set-ups and / or divestitures;
- Experience in business assessments and planning, for example financial analysis, operational maturity assessment, business case development, navigating change management initiatives through complex stakeholder landscapes.
