Lawyer (Legal Department)
Overview:
The Lawyer’s primary responsibility is to protect the legal interests of the Company and its personnel by handling all legal matters arising in Russia and CIS, under the supervision of the Head of Legal Russia & CIS, as well as relevant headquarters and subsidiary staff and functional groups.
The Lawyer will ensure the company complies with the legislative requirements including anti-corruption/anti-bribery (including the US Foreign Corrupt Practices Act), local regulatory requirements, privacy, anti-trust, advertising, etc. as well as local business standards and industry regulations.
Responsibilities:
- Advise on day-to-day commercial transactions and business undertakings;
- Review and develop commercial agreements/agreement templates;
- Advise on commercial/corporate and labor issues and negotiate with external parties on behalf of the Company, where needed or appropriate;
- Monitor changes and developments in the legal and regulatory environment within which the Company operates;
- Assist in corporate secretarial matters and ensure compliance with local regulatory requirements in each market;
- Maintain all corporate records for local subsidiaries in Russia and CIS, directly or through selected external corporate secretarial agencies, as appropriate;
- Assist with the interpretation of Company’s global, regional and local Company Standards, Corporate Policies and Procedures and help to ensure compliance by local subsidiaries;
- Resolve routine legal matters in practice area with minimal supervision;
- Coach and train the business on key legal developments and areas.
Requirements:
- 1 – 3 years of relevant experience;
- Experience in corporate/commercial law & agreements (with national and cross-border contracts);
- Civil Law, incl. pharmaceutical/drug law(s), social security insurance/reimbursement laws;
- Public Tender Law;
- General Corporate Law;
- Anti-bribery, Anti-Trust Law;
- Ethics & Compliance standards awareness;
- Labor Law.
