Lawyer
Education/Experiences:
-
Graduated: Moscow State University, MGIMO, MGUA, Higher School of Economics;
-
2-3 years experience in international law firms/international corporates;
-
Corporate support in foreign jurisdictions;
-
Experience in drafting and negotiation of the contracts (service/consultancy, SPA, loan, pledge, novation, employment, etc.) in Russian and English;
-
English fluent.
Job Description:
Сorporate support for the Group companies, including in the following jurisdictions: USA, Russia, Cyprus, Malta, Philippines, Egypt:

Organization of shareholders, BoD and Management board meetings and drafting of corporate decisions for the Group companies on various matters;
-
Drafting of constitutional documents, corporate contracts;
-
Organization of liquidation and reorganization, etc.
Legal support to the Group's projects and day-to-day activities of the company:
-
Participation in drafting of various commercial contracts, including general contractor agreements, subcontract, supply contract etc.;
-
Participation in the contracts negotiation;
-
Preparation of legal opinions;
-
Interaction with government authorities, banks, insurance companies, etc.
-
Participation in drafting of standard templates of contracts;
-
Preparation of letters / notifications etc;
-
Analysis of current legislation alternations and its impact on the company.
